B2B Service Agreement

Last updated: 2 November 2026

ClonifyLab is a service of DecodeIT OÜ (registry code 16593048, Tallinn, Estonia).

Summary

This summary helps you read the agreement. The numbered sections are what count.

  • We use AI to make short videos for your business. You approve each one, and we post it to your Instagram, Facebook and YouTube accounts. TikTok videos arrive as drafts that you publish.
  • Nothing is posted without an approval from one of your listed approvers.
  • Clone videos show only presenters who recorded their own consent and accepted the Likeness & Voice Licence themselves.
  • Prices are without VAT. You pay our invoices by bank transfer within 14 days.
  • After the pilot, the first 3 months are the initial term. After that the agreement runs month to month, and either of us can end it with one month's notice.
  • When we post, the platform's AI label goes on wherever it is required, and every file carries invisible marks (C2PA and a watermark). When you post a file yourself, you switch on the label and keep the marks.
  • We process your personal data under our Data Processing Agreement.
  • We don't work with companies from Russia or Belarus. Estonian law applies.

1. This agreement

1.1 This business service agreement (the "agreement") is between DecodeIT OÜ, registry code 16593048, VAT number EE102552621, Tallinn, Estonia, trading as ClonifyLab ("we", "us"), and the business that accepts it ("you").

1.2 It is for businesses only. By accepting it, you confirm that you act for your business, trade or profession, not as a consumer. People who buy for themselves use our Terms of Service.

1.3 The person who accepts this agreement for you gives their name, role and company, and ticks a box to confirm that they accept this agreement and the Data Processing Agreement for your company and are allowed to do so. We save the date, time and IP address of the acceptance and email that person a PDF copy. The agreement starts when it is accepted.

1.4 Your order says what you buy: the pilot or a package, any add-ons, your presenters and approvers, your weekly prep day and posting rhythm, and your contact person. We confirm each order, and each change to it, by email.

1.5 The agreement is made up of:

If they conflict, the DPA comes first for personal data, and your order comes first for what you buy and its price. Otherwise this document comes first.

1.6 Each presenter accepts the Likeness & Voice Licence themself. Section 6 makes its limits on the use of their videos binding on you.

2. Words we use

  • Approver: a person listed in your order who may approve videos, post texts and posting times for you.
  • Presenter: a person whose face and voice appear in your clone videos.
  • Clone video: a video in which a presenter's recording says new words in their cloned voice.
  • Video: one short video of up to 60 seconds. A video of 61 to 120 seconds counts as two. An animated video is at most 60 seconds.
  • Preview: the version of a video we send for approval.
  • Files we deliver: any file of ours that you get: a download, an export or a saved preview.
  • The platform's AI label: the label that Instagram, Facebook, YouTube or TikTok shows on a post to say that it was made or changed with AI.
  • Invisible marks (C2PA and a watermark): the C2PA Content Credentials and the invisible watermark (Video Seal on the picture, AudioSeal on the sound) in every file we make.
  • Working day: a day other than a Saturday, Sunday or public holiday in Estonia.

3. The service

3.1 We use AI to write, voice, edit and mark short videos for your brand (Reels, TikTok, Shorts and Facebook Reels). We send you a preview of each video and, after an approver approves it, post it to your connected Instagram, Facebook and YouTube accounts. TikTok videos go to your TikTok account as drafts that you publish. Our Telegram bot is an AI and says so.

3.2 Your package covers videos of any type we offer: edit my video (your own filmed takes, cut), product demo (your screen recordings in a phone frame), talking video (your presenter's clone) and faceless video (calm, lively or fully animated). Every type counts as one video.

3.3 The pilot lasts 2 weeks. It includes 6 videos of any type, the setup and the capture (the consent recording of your first presenter, if you want clone videos). The pilot fee is not credited against later fees.

3.4 Schedule 1 lists the packages and add-ons. Each package includes one presenter. Premium includes two presenters or two languages.

3.5 Every package includes:

  • a fixed weekly delivery day, with no rush fees;
  • one revision per video. Further revisions cost €19 a video. Changing only the post texts before approval doesn't count as a revision;
  • a monthly report with a 15-minute call;
  • a filming checklist for 10 to 20 short real phone clips (your place, products, team and you at work), with a monthly reminder to add new ones;
  • the video library with file export;
  • posting to Instagram, Facebook and YouTube, and drafts to TikTok.

Standard and Premium also include comment→DM (section 3.9).

3.6 Weekly rhythm. You choose a fixed prep day at onboarding. We make each week's videos on the night of your prep day, at least 5 days before the week's first post, and send the previews at 07:30 Tallinn time the next morning. A month's videos that you don't use don't carry over to the next month; videos we deliver late are credited (section 4). Your approvers approve them at least 3 days before the week's first post. We work one week at a time and never schedule posts more than 2 weeks ahead. You can add or change topics at any time, by a message or voice note in your approval group or by email.

3.7 Real footage. Every clone video keeps at least 20 to 30% real footage from your clips. Until we have enough real clips, we can't make clone videos, and we tell you what is missing.

3.8 Your accounts. You connect your own accounts through a connect link from our posting partner Upload-Post, valid for 48 hours. You log in on each platform's own page. Nobody shares a password, and we store no social media tokens. You can disconnect at any time. Instagram needs a professional account, Facebook a Page you manage, and YouTube a channel.

3.9 Comment→DM (Standard and Premium). When someone comments a keyword on one of your Instagram posts, Upload-Post's AutoDM sends them one automatic private reply. We set the keyword and the reply text with you. The text passes our safety check, and an approver approves it once; a changed text needs a new approval. Instagram allows one private reply per comment, within 7 days of the comment. You still reply to comments yourself. We store only the number of replies, never commenters' names or comments, and show it in your monthly report.

3.10 Premium lip-sync. We start using premium lip-sync only after it passes our data-protection check and after we have given you 30 days' notice of its sub-processor under the DPA. From then on, we use it on every Premium clone video, and on other packages where we decide that a video needs it. Until then, every clone video uses the standard lip-sync, at the same price.

3.11 Second language. With the second-language add-on, every video is also made in a second language, chosen from the languages we offer, that you can check. Each version is previewed and approved with the video. A clone video in another language needs the presenter's consent and licence to cover that language.

3.12 We promise to deliver videos, not views, followers, reach, sales, income or any other result. The platforms decide who sees a post and can change their rules at any time.

3.13 We may change how we make videos, for example which AI models we use, as long as your package still gets what Schedule 1 describes. A new sub-processor follows the DPA.

3.14 We may work for other businesses in your field. We never give your videos, scripts or materials to anyone else, and we never make identical videos for different clients.

4. Delivery on time

4.1 If a video in a monthly package isn't delivered for approval on time, we credit it. A video is on time when its preview reaches your approvers by the end of the day after your prep night (section 3.6).

4.2 For each late video, we credit the monthly fee divided by the number of videos in your package, up to 20% of that month's fee in total. The credit goes on your next invoice. If there is no next invoice, we refund it.

4.3 A video is not late when the delay comes from:

  • you, for example missing topics, clips, answers, approvals or account connections;
  • our safety check blocking a video because of what was asked for;
  • a pause under section 13; or
  • an event outside our reasonable control (section 16.6).

4.4 This credit is your only compensation for late videos, unless the delay was caused intentionally or by gross negligence. It doesn't limit your right to end the agreement for a serious breach (section 14.5). It is a promise about delivery, not about views.

5. Approvals and approvers

5.1 Only the approvers listed in your order can approve videos, post texts and posting times. We never post, schedule or delete a post on your accounts without an approval record: who approved, when, and the hash of the exact file that was approved.

5.2 Your approvers approve in one of two ways:

  • In your Telegram approval group. We create it with Telegram's "Restrict saving content" switched on, add our bot, and send your approvers a private invite link that needs our approval to join. Only listed approvers can approve; other members of the group can't.
  • In our web app (app.clonifylab.com), after signing in with a code we email to the approver's work address. Our "ready to approve" email only links to the web app. Opening the link never approves anything: an approver approves by pressing a button in the web app.

5.3 An approval is given for you and binds you. It confirms that the video, its texts and its posting time may be posted, and that the facts and claims about your business in it are correct.

5.4 You keep your list of approvers up to date. Changes must come by email from your contact person or a listed approver. Tell us by email to info@clonifylab.com on the day an approver leaves your company or should stop approving, and we remove their access that same day, including from your approval group. Approvals given before you tell us count as yours.

5.5 A video that isn't approved by its posting time moves to the next free posting slot.

5.6 Previews are for approval only. Please don't save, forward or post them.

5.7 TikTok videos arrive in your TikTok account as drafts. You publish them with the caption we give you, and switch on TikTok's AI-generated content setting when our message reminds you to.

6.1 We make clone videos only of presenters who have, themselves:

  • recorded their consent through a personal presenter link we send them: one continuous recording of 3 to 5 minutes that starts with a consent sentence and a random phrase shown on screen, which we check automatically;
  • confirmed that they are 18 or over; and
  • accepted the Likeness & Voice Licence.

Your company never consents for a presenter.

6.2 We offer clone videos only to clients established in the EU (for an agency, only for end clients established there), and only of presenters who live in the EU. We never clone public figures, anyone under 18, deceased people, or anyone who has not recorded their own consent.

6.3 You make sure that each presenter takes part freely and can refuse, or withdraw later, without any disadvantage at work.

6.4 A presenter can withdraw their consent at any time, as their licence describes, for example by email to info@clonifylab.com. From that moment:

  • we make no new videos of them;
  • we cancel the unfinished videos and pending posts that use their clone;
  • their videos can no longer be downloaded or exported; and
  • within 30 days, we delete their clone and every video that uses it, at our vendors too.

We tell you about a withdrawal the same day.

6.5 You may use videos of a presenter only on your own channels and in your own ads, and only while the presenter's licence runs. It ends when their clone is deleted. You never change what the presenter says, re-voice them, or cut a video into something that changes its meaning. After a withdrawal, you stop any new use and, within 30 days, remove your own posts of that person (including the ones we posted for you) where the platform allows.

6.6 An extra presenter costs €149 once and includes their consent capture and persona card.

7. AI labels, invisible marks and your own posts

7.1 When we post to Instagram, Facebook or YouTube, the platform's AI label goes on automatically wherever the law or the platform requires it. Nobody can switch a required label off: not you and not us. At present, the label goes on every Instagram and Facebook post, and on YouTube and TikTok on every post of a clone video, a video with a cloned voice or a video with realistic AI visuals. Only a stylized faceless video with a library voice goes without it, on YouTube and TikTok. Each preview names the platforms that get the label. TikTok drafts can't carry the label, so you switch it on when you publish (section 5.7).

7.2 We never add AI text ourselves: nothing we write into a video, title, caption or ad text says that it was made with AI. A line that you ask for in your own words stays.

7.3 Every file we make carries invisible marks (C2PA and a watermark). Anyone can check them with the free tools on our website. As the provider of the AI system, we add them under Article 50(2) of Regulation (EU) 2024/1689 (AI Act).

7.4 When you post a file yourself. Whenever you, or anyone acting for you such as your agency, post a file we deliver (a download, an export or a saved preview), you are the deployer for that post under Article 50(4) of the AI Act. You must:

  • switch on the platform's AI label wherever the law or the platform requires it (each download names the platforms; section 7.1 explains the rule);
  • never knowingly remove or alter the C2PA data or the watermark;
  • keep the label even if you edit the file; and
  • add any other label your posts need under local rules (the AUP gives examples).

7.5 Downloads. You can download only approved finals. A clone or cloned-voice video can be downloaded only while the presenter's consent is valid, and no video can be downloaded while a takedown, report or legal hold on it is open. Each download link works for 15 minutes, comes with a reminder of the platforms whose AI label the video needs, and is logged.

8. Content rules and your responsibility

8.1 The AUP applies to everything we make for you. We don't make:

  • sexual content;
  • political content;
  • public figures, or other people's faces (other than people aged 18 or over who agreed to appear in your own clips);
  • fake testimonials, or personas saying "I use this";
  • claims about income or easy money;
  • unsupported medical or financial claims;
  • promises of views.

8.2 Our safety check (OpenAI moderation and our own safety rules) checks every topic, script, post text and AI-made picture. If it blocks something, we tell you why and suggest another topic. A blocked video doesn't count against your package. If your business is in a regulated field such as health or finance, we review each script before it is made.

8.3 You stay the advertiser of record for every post and ad. You are responsible for:

  • the facts, claims, offers and prices about your business in the videos you approve;
  • the rules of your sector, for example health, medicines, finance or legal services;
  • consumer and advertising law, including marking paid partnerships; and
  • the rules of the platforms on your accounts.

8.4 You confirm that you have the rights to everything you give us (logos, clips, recordings, pictures, texts, music and example videos). Whoever adds clips or screen recordings for you confirms: "These are my or my business's own recordings; everyone recognisable in them is 18 or over and agreed to appear." Whoever uploads a take for your own video also confirms: "This is my own camera recording of me (or of our presenter, who agreed). Nobody else can be recognised in it, nobody in it is under 18, and it isn't made or changed with AI." We refuse a take that is marked as made with AI or that is one of our own videos.

8.5 Anyone can report a video to us. We act on reports within 48 hours. While we look into a report, we may block the video in our service (its preview, downloads and scheduled posts) and ask you to take down a live post. A legal hold pauses deletion while a case is open. You help us with any report about your content.

8.6 You cover our reasonable costs, including legal costs, of claims and proceedings by others that arise from:

  • your materials;
  • the facts and claims about your business that you supply or approve;
  • your own posts of files we deliver; or
  • a breach of section 6.3, 6.5, 7.4 or 8.4.

9. Personal data

9.1 The DPA is part of this agreement. For the personal data we process to make and post your videos, you are the controller and we are your processor under Regulation (EU) 2016/679 (GDPR).

9.2 We are a separate controller, under our Privacy Policy, for: each presenter's consent record and licence acceptance; your account, billing and contact details; sanctions screening; security logs; approval, post and audit records; and our own duties as the provider of the AI system. Section 2 of the DPA explains this.

9.3 We store data in the EU by default. Some of our AI vendors are in the US. Transfers to them rely on the EU Standard Contractual Clauses and, where the vendor is certified, the EU-US Data Privacy Framework. The DPA lists every sub-processor.

9.4 The DPA sets the retention rules as your instructions. In short: unapproved videos are deleted 90 days after they are made; approved videos are kept until 30 days after the agreement ends; clone and presenter data is deleted within 30 days of the end or of a withdrawal; and your own clips and recordings are deleted when you delete them or 30 days after the end.

9.5 You tell your staff, approvers and presenters how their data is used for your videos (you may point them to the DPA and our Privacy Policy), and you have a legal basis for the personal data you give us.

10. Rights in the videos

10.1 Your materials stay yours. You let us use them only to provide the service, while it runs and for as long as the retention rules allow.

10.2 Once you have paid for an approved video, we transfer to you all rights we hold in it, including its script, edit, captions and post texts, as far as the law allows. Where a right can't be transferred, we give you an exclusive, worldwide, royalty-free licence to use it, without time limit. These rights are subject to:

  • the presenter's licence and section 6.5, for videos of a presenter;
  • the terms of the AI vendors that made parts of the video, such as pictures, music, voices and moving shots; and
  • section 7.4: the invisible marks stay in the file.

10.3 Our service stays ours: the software, workflows, prompts, formats, styles, templates and know-how we use to make videos. You get no rights in them beyond using the service.

10.4 We use your videos, your name or your logo in public examples, case studies or a client list only with your written permission (an email is enough). A video of a presenter also needs that presenter's consent to that use: for a clone or cloned-voice video, their recorded consent sentence must cover ClonifyLab's website and ads (Likeness & Voice Licence, section 4). The Founding package includes one case study in return for its price lock. We publish it only after you have approved its final text and videos in writing.

11. Prices, invoices and payment

11.1 Prices are in euros, without VAT, as set out in Schedule 1 and your order.

11.2 We check your VAT number in the EU's VIES system when you accept this agreement. If you are a business in another EU country with a valid VAT number, the reverse charge applies under Article 196 of Council Directive 2006/112/EC (VAT Directive), and our invoices say "reverse charge". If you are in Estonia, or VIES doesn't confirm your number, we add Estonian VAT. If you are outside the EU, we add VAT only where the law requires it.

11.3 DecodeIT OÜ sends invoices by email. You pay by bank transfer to the account on the invoice. Later we may also offer Stripe invoices.

11.4 We invoice:

  • the pilot when you accept this agreement. We start the pilot once it is paid;
  • packages and monthly add-ons at the start of each billing month, in advance;
  • one-off fees (an extra presenter, or an agency's presenter fee) when you order them;
  • extra revisions and an agency's per-video fees at the end of each month, for that month.

11.5 Invoices are due 14 days after the invoice date. On late payments, we may charge late interest at the rate set by the Estonian Law of Obligations Act.

11.6 If you dispute an invoice, tell us within 14 days and pay the part you don't dispute.

11.7 The Founding price is locked for 6 months from your first package month. We may change other prices by telling you by email at least 30 days before. A change never applies during your initial term. If you don't accept it, you may end the agreement before the change applies. The Standard price for new clients rises to €990 once we have 3 case studies; that doesn't change the price in your order.

12. Sanctions

12.1 We don't work with companies established in Russia or Belarus. EU sanctions forbid us to provide advertising and related services to legal persons established in Russia (Council Regulation (EU) No 833/2014, Article 5n), and we apply the same rule to Belarus.

12.2 You confirm that:

  • you are not established in Russia or Belarus;
  • you are not owned or controlled, directly or indirectly, by a person or body established there, or by the Russian or Belarusian state;
  • neither you nor anyone who owns or controls you is on an EU sanctions list; and
  • you won't use the service for anyone described above.

You tell us at once if any of this changes.

12.3 We screen each client against the EU consolidated sanctions list when it accepts this agreement, and again from time to time. If the screening finds a match, or a confirmation in section 12.2 isn't true, we may refuse or end this agreement at once by email. You then owe the fees for work already done, and we refund fees paid for work not done, unless the law forbids it.

13. Pausing the service

13.1 We may pause making and posting videos:

  • if an invoice is more than 14 days overdue after we have reminded you;
  • after a serious or repeated breach of the content rules, the AUP or section 7.4;
  • under section 12; or
  • when the law, a court, an authority or a security incident requires it.

Where we can, we pause only what is affected, for example one presenter's videos during a consent dispute.

13.2 We tell you why, and restart as soon as the reason is gone. Videos not made during a pause are not late. In the first two cases, your fees stay due.

14. Term and ending

14.1 The pilot runs for 2 weeks from its start. If you order a package within 30 days after the pilot ends, the package starts on the date we agree. If you don't, this agreement ends 30 days after the pilot ends. During those 30 days you can export your approved pilot videos, and then we delete the pilot data (section 14.7).

14.2 The first 3 months of your package are the initial term. After that, the agreement continues month to month.

14.3 Either of us can end the agreement by email with one month's notice. The end date can't be before the end of the initial term.

14.4 Nothing in this agreement limits any right you have under Regulation (EU) 2023/2854 (Data Act) where it applies to the service, such as switching to another provider or ending the agreement with no more than 2 months' notice, and taking your data with you. We charge no switching or exit fees.

14.5 Either of us may end the agreement at once by email if the other:

  • seriously breaches it and, where the breach can be fixed, doesn't fix it within 14 days of being asked in writing; or
  • goes bankrupt, enters liquidation or stops trading.

We may also end it at once under section 12, or after a serious or repeated breach of the content rules, the AUP or section 7.4.

14.6 When the agreement ends:

  • we stop making videos and cancel the posts scheduled after the end date. Before that, we show you the list, and you can post them before the end date or download them;
  • you pay the fees up to the end date (a part month in proportion), and we refund anything you paid for the time after it;
  • your approvers' access ends.

14.7 During the 30 days after the end, you can export your approved finals, with their C2PA data. After that, we delete your data as the DPA says and confirm the deletion to you in writing. After a pilot without a package, these are the 30 days after the pilot ends (section 14.1).

14.8 Sections that by their nature should last after the end stay in force, including sections 6.5, 7.4, 8.6, 9, 10, 11 (for amounts due), 15, 16 and 19.

15. Confidentiality

15.1 Each of us keeps the other's confidential information secret and uses it only for this agreement. Confidential information is anything the other shares that is marked as confidential or is clearly confidential, such as unpublished videos, plans, topics, prices and working methods.

15.2 This doesn't cover information that is public (other than through a breach of this section), that the receiver already had or received lawfully from someone else, or that the law, a court or an authority requires to be disclosed. In the last case, the receiver tells the other first where the law allows.

15.3 We may share your confidential information with our staff and sub-processors who need it for the service and are bound by confidentiality.

15.4 This section applies during the agreement and for 3 years after it. Personal data stays protected for as long as we hold it.

16. Liability

16.1 Each party's total liability under this agreement and the DPA together is limited to the total fees for the service in the 12 months before the event that caused the claim. For a claim about the pilot, the limit is the pilot fee.

16.2 Neither of us is liable for indirect losses, lost profit, lost revenue, lost business or goodwill, or for the reach or results of posts. We are not liable for the platforms' decisions about your posts or accounts, unless our breach of this agreement caused them.

16.3 Nothing in this agreement limits or excludes liability that can't be limited or excluded under Estonian law, including liability for intent or gross negligence, for death or personal injury, or for fraud. The limit in section 16.1 also doesn't apply to your payment of fees or to section 8.6.

16.4 We are responsible for our sub-processors as for ourselves, as the DPA says. The social platforms, Telegram and your own service providers are not our sub-processors: you use them under their own terms.

16.5 Each of us takes reasonable steps to limit any loss.

16.6 Neither of us is liable for a delay or failure caused by events outside reasonable control (force majeure under the Estonian Law of Obligations Act), such as a major outage of a platform or vendor, a war, or a ban by an authority. The affected party tells the other quickly. If it lasts more than 30 days, either of us may end the agreement by email.

17. Transfer of this agreement

17.1 We may transfer this agreement, the DPA, the presenters' licences and the recorded consents to a successor or affiliated company, such as the ClonifyLab OÜ we plan to found. We tell you by email at least 30 days before. If you object, you may end the agreement by email with effect from the transfer date, without paying for the rest of the initial term.

17.2 You may transfer this agreement only with our written consent (an email is enough).

18. Notices and changes

18.1 Notices under this agreement go by email: to us at info@clonifylab.com, and to you at your contact person's email in your order, or another address you give us. An email notice counts as received on the next working day after it is sent, unless it bounces.

18.2 Previews, approvals, topics and other day-to-day messages go through your approval group or the web app.

18.3 We may update this agreement by emailing you the new version at least 30 days before it applies. If you don't accept the change, you may end the agreement by email before it applies; otherwise the new version applies from that date. Changes that the law requires may apply sooner. Sub-processor changes follow the DPA.

18.4 Any other change needs both of us to agree in writing (an email is enough).

19. Law and courts

19.1 Estonian law applies to this agreement.

19.2 Disputes go to Harju County Court (Harju Maakohus) in Tallinn as the court of first instance.

20. Final terms

20.1 This agreement, with the documents listed in section 1.5, is the whole agreement between us about the service. It replaces earlier offers and discussions on the same subject.

20.2 If a part of it is invalid, the rest stays valid, and the invalid part is replaced by a valid rule that comes closest to its purpose.

20.3 Not using a right doesn't mean giving it up.

20.4 This agreement is in English. If we give you a translation, the English text applies.

Schedule 2: agency (white-label) terms

S2.1 This schedule applies when you are an agency that sells our videos to your own clients ("end clients") under your own name. The rest of the agreement applies too. Where this schedule differs, it comes first for the agency service.

S2.2 Prices, without VAT:

  • €149 once per presenter (setup and capture);
  • €19 a video, at least 20 videos a month. We invoice at least 20 videos each month;
  • premium lip-sync: €5 more a video, once it passes its data-protection check (section 3.10).

S2.3 You get each approved video as an MP4 file with its caption text, from the video library. Videos can be of any type, and each includes one revision; further revisions cost €19 a video. We send you the filming checklist for each end client's real clips.

S2.4 You post. We don't connect your end clients' accounts or post for them, so comment→DM, post numbers and the monthly report are not part of the agency service.

S2.5 Your listed approvers approve each video before you can download it (section 5). You decide how your end clients take part in that approval.

S2.6 Whenever you or an end client posts a file we deliver, whoever posts it is the deployer for that post, and section 7.4 applies in full: the platform's AI label wherever the law or the platform requires it, the C2PA data and the watermark kept, and the label kept after edits.

S2.7 In your contract with each end client, you pass on the AUP, section 7.4 and the limits on presenter videos in section 6.5, and you make sure that your end clients follow them. You confirm that you have each end client's authority to order videos for them, to give us their materials and personal data, and to instruct us.

S2.8 Each end client's presenter records their own consent through their own presenter link, confirms that they are 18 or over and accepts the licence themself. Neither you nor your end client can consent for them. Section 6 applies to every presenter. Clone videos are made only for end clients established in the EU; you tell us each end client's country before its first clone video.

S2.9 White-label means that we put neither our name nor our logo into the videos or their texts. The invisible marks stay in every file: the C2PA data is signed by us, and the public watermark check names ClonifyLab. You must not remove or alter them, and you must never present the videos as not made with AI.

S2.10 Personal data. You are our client. For an end client's personal data, the end client is usually the controller and you are their processor, which makes us your sub-processor. Where you decide the purposes yourself, you are the controller and we are your processor. The DPA applies between you and us in both cases, and section 3 of the DPA sets out what you confirm as a processor. An end client may join the DPA under its Clause 5 if you and we agree. We remain a separate controller for each presenter's consent record and licence acceptance.

S2.11 The agency service has the same initial term of 3 months, counted from your first month of videos, and then runs month to month with one month's notice (section 14).
